鴻海結盟矽品 股價齊揚
（中央社記者鍾榮峰台北31日電）鴻海和矽品擬新股交換策略結盟，鴻海將成矽品最大股東。鴻海、矽品早盤都以上漲開出。
鴻海開盤來到89.5元，漲幅1%，矽品以平盤39.5元開出，隨後一路走高，最高來到40.7元、漲幅3%。
鴻海和矽品將透過增資新股交換方式策略結盟，雙方換股比例為矽品2.34股換鴻海1股，鴻海將持有矽品8.4億股，占矽品增資後約21.24%股權；矽品將持有鴻海3.59億股，占鴻海增資後約2.2%股權。策略結盟後，鴻海將成為矽品最大股東。
法人指出，鴻海與矽品雙方增資新股交換，粗估鴻海以每股37.8元成本取得矽品新股，矽品以每股92.4元取得鴻海新股。若以28日矽品收盤39.5元粗估，矽品以折價4.3%讓鴻海入股。
相較日月光以每股45元公開收購矽品約當25%普通股，鴻海以每股37.8元成本取得博客來網路書店矽品新股，大約是日月光每股公開收購價的84%。
矽品透過審議委員會和董事會，對日月光公開收購指出5大疑點。矽品認為，日月光在收購價格合理性有疑義、收購現金對價不足夠、日月光公開收購真實目的不明，建議矽品股東不參與公開收購之應賣。1040831
